本《用户服务协议与隐私政策》（以下简称"本协议"）是您（以下简称"用户"或"您"）与深圳市格子和弦设计有限公司 (Shenzhen Cell & Chord Design Co., Ltd.)（以下简称"我们"或"本平台"）之间就下载、安装、访问、使用"格子和弦（CellChord）"平台（包括但不限于网页端、桌面客户端、移动应用程序及相关服务，以下统称"本平台"）所订立的具有法律约束力的协议。
This User Service Agreement and Privacy Policy (hereinafter referred to as "this Agreement") is a legally binding agreement entered into by and between you (hereinafter referred to as the "User" or "You") and Shenzhen Cell & Chord Design Co., Ltd. (深圳市格子和弦设计有限公司) (hereinafter referred to as "We", "Us", or the "Platform") regarding the downloading, installation, access, and use of the "CellChord" platform (including but not limited to web applications, desktop clients, mobile applications, and related services, hereinafter collectively referred to as "this Platform").

【特别提示】在您开始使用本平台之前，请您务必审慎阅读、充分理解本协议各条款内容，特别是免除或者限制责任的条款、法律适用和争议解决条款。当您点击"同意"、"接受"或实际开始使用本平台时，即表示您已充分阅读、理解并接受本协议的全部内容，本协议即在您与我们之间产生法律约束力。如果您不同意本协议的任何内容，请立即停止使用本平台。
[SPECIAL NOTE] Before you start using this Platform, please carefully read and fully understand the terms of this Agreement, especially the clauses exempting or limiting liability, governing law, and dispute resolution. When you click "Agree", "Accept", or actually start using this Platform, it indicates that you have fully read, understood, and accepted the entire content of this Agreement, and this Agreement shall become legally binding between you and Us. If you do not agree with any part of this Agreement, please immediately stop using this Platform.

第一部分：用户服务协议 / Part I: User Service Agreement

1. 协议的范围与变更 / Scope and Modification of the Agreement

1.1 协议范围 / Scope of Agreement：
本协议内容包括协议正文及我们已经发布或将来可能发布的各类规则、通知、公告等。所有规则均为本协议不可分割的组成部分，与协议正文具有同等法律效力。
1.1 Scope of Agreement: The content of this Agreement includes the main text and various rules, notices, announcements, etc., that We have published or may publish in the future. All rules are an integral part of this Agreement and have the same legal effect as the main text.

1.2 协议变更 / Modification of Agreement：
我们有权根据国家法律法规变化及业务运营需要，不时修改本协议。修改后的协议一经在本平台公布即替代原协议。您可以随时在官方渠道查阅最新版本的协议。如果您不接受修改后的条款，请立即停止使用本平台；如果您继续使用，即视为您已接受修改后的协议。
1.2 Modification of Agreement: We reserve the right to modify this Agreement from time to time based on changes in national laws and regulations and business operational needs. The modified agreement will replace the original agreement upon publication on this Platform. You can check the latest version of the agreement at any time through official channels. If you do not accept the modified terms, please stop using this Platform immediately; if you continue to use it, you are deemed to have accepted the modified agreement.

2. 服务内容与使用授权 / Service Content and License

2.1 服务内容 / Service Content：
"格子和弦（CellChord）"是一款由我们研发的、专为建筑学、环境艺术及参数化设计领域打造的新型轻量化工具集成平台（包含 Grasshopper 辅助工具 GH Helper、建筑可视化 Archviz Lite 及相关AI辅助生成等功能）。本平台秉持"本地优先、轻量可携、隐私优先"的设计理念，旨在打破传统重度工业设计软件对高性能PC的强依赖，通过跨平台技术为您提供一个无需复杂安装、AI功能集成的高阶协同设计与可视化环境。
2.1 Service Content: "CellChord" is a new lightweight tool integration platform developed by Us, specifically tailored for the fields of architecture, environmental art, and parametric design (including features such as Grasshopper Helper / GH Helper, Architectural Visualization / Archviz Lite, and related AI-assisted generation). Adhering to the design philosophy of "Local First, Lightweight & Portable, Privacy First", this platform aims to break the strong dependence of traditional heavy industrial design software on high-performance PCs, providing you with a cross-platform, installation-free, AI-integrated high-level collaborative design and visualization environment.

2.2 使用授权 / License Granted：
我们授予您一项个人的、不可转让的、非排他性的、可撤销的许可以使用本平台服务。您仅可以为非商业目的（或双方另行约定的商业目的）通过合法途径访问和运行本平台。
2.2 License Granted: We grant you a personal, non-transferable, non-exclusive, and revocable license to use this Platform's services. You may only access and run this Platform through legal means for non-commercial purposes (or commercial purposes otherwise agreed upon by both parties).

2.3 服务变更与中止 / Service Changes and Suspension：
我们保留在不事先通知的情况下，随时进行系统升级、维护、变更、中断或终止部分或全部服务的权利。对于因此类操作给您造成的任何不便或损失，我们在法律允许的最大范围内不承担责任。
2.3 Service Changes and Suspension: We reserve the right to perform system upgrades, maintenance, changes, interruptions, or termination of part or all of the services at any time without prior notice. To the maximum extent permitted by law, We shall not be liable for any inconvenience or loss caused to you by such operations.

3. 用户账号与安全 / User Account and Security

3.1 若使用本平台的特定功能需要注册或登录账号，您应提供真实、准确、完整的资料。
3.1 If the use of specific features of this Platform requires account registration or login, you shall provide true, accurate, and complete information.

3.2 您应当妥善保管您的账号凭证和密码。您对使用该账号进行的一切活动承担全部责任。
3.2 You must properly keep your account credentials and password secure. You are fully responsible for all activities conducted using the account.

3.3 若您发现账号遭到未授权使用或存在其他安全漏洞，应立即通知我们。因您保管不善导致的损失由您自行承担。
3.3 If you find any unauthorized use of your account or other security vulnerabilities, you should notify Us immediately. You will bear any losses caused by your improper safekeeping.

3.4 未成年人保护 / Protection of Minors：
本平台主要面向建筑、工程、设计等领域的专业成年用户。若您是未满18周岁的未成年人，请务必在您的监护人仔细阅读并明示同意本协议后，在监护人的指导下使用本服务。
3.4 Protection of Minors: This Platform is mainly intended for adult professional users in fields such as architecture, engineering, and design. If you are a minor under the age of 18, you must use this service under the guidance of your guardian after they have carefully read and explicitly agreed to this Agreement.

4. 用户行为规范 / User Code of Conduct

4.1 合法使用 / Lawful Use：
您同意在访问和使用本平台时遵守国家相关法律法规，不得利用本平台从事任何违法违规活动。
4.1 Lawful Use: You agree to abide by relevant national laws and regulations when accessing and using this Platform, and you shall not use this Platform to engage in any illegal or irregular activities.

4.2 禁止行为 / Prohibited Conduct：
除非法律允许或我们书面许可，您不得从事下列行为：
4.2 Prohibited Conduct: Unless permitted by law or with our written permission, you shall not engage in the following activities:

* 对本平台的前端代码、后端接口进行反向工程，或以其他方式尝试发现本平台的底层逻辑设计和商业机密；
   * Reverse engineer the front-end code or back-end interfaces of this Platform, or otherwise attempt to discover the underlying logic design and trade secrets of this Platform;
* 绕过本平台的安全机制，或未经授权利用爬虫、蜘蛛等自动化脚本大规模抓取、复制、修改本平台的数据或API接口；
   * Bypass the security mechanisms of this Platform, or use automated scripts such as crawlers and spiders to scrape, copy, or modify the data or API interfaces of this Platform on a large scale without authorization;
* 利用本平台或其集成的AI服务生成、传播含有分裂国家、暴力、色情、政治敏感、侵犯他人隐私或知识产权等违反法律法规及公序良俗的内容；
   * Use this Platform or its integrated AI services to generate or disseminate content that violates laws, regulations, and public order and morals, such as content that splits the country, contains violence, pornography, political sensitivity, or infringes upon others' privacy or intellectual property rights;
* 进行恶意DDoS攻击、SQL注入等破坏本平台正常运行和网络安全的行为。
   * Engage in malicious DDoS attacks, SQL injection, and other behaviors that disrupt the normal operation and network security of this Platform.

5. 第三方AI模型服务与免责声明（重要） / Third-Party AI Model Services and Disclaimers (Important)

本平台的部分核心功能（如AI辅助编程、参数生成、逻辑推荐等）接入并使用了第三方人工智能大模型云端服务。针对此部分功能，您理解并同意以下条款：
Some core features of this Platform (such as AI-assisted programming, parameter generation, logic recommendation, etc.) access and use third-party artificial intelligence large model cloud services. Regarding these features, you understand and agree to the following terms:

5.1 第三方服务提供商 / Third-Party Service Providers：
本平台集成的AI模型服务由第三方提供（包括但不限于 DeepSeek、阿里云、火山引擎 等关联主体）。您在使用相关AI功能时，也受上述第三方服务提供商的服务条款及规范约束。
5.1 Third-Party Service Providers: The AI model services integrated into this Platform are provided by third parties (including but not limited to DeepSeek, Alibaba Cloud, Volcengine, and their affiliated entities). When using related AI features, you are also bound by the terms of service and specifications of the aforementioned third-party service providers.

5.2 数据传输与处理 / Data Transmission and Processing：
为了向您提供云端AI生成服务，您在平台内输入的文本指令（Prompt）、提问以及部分为生成结果所必需的上下文数据，将被传输至上述第三方AI服务提供商的服务器进行分析和处理。我们承诺仅传输实现功能所必需的数据。详细的数据处理规则请见本协议第二部分"隐私政策"。
5.2 Data Transmission and Processing: To provide you with cloud-based AI generation services, the text instructions (Prompts), questions, and some context data necessary for generating results that you input into the Platform will be transmitted to the servers of the aforementioned third-party AI service providers for analysis and processing. We promise to only transmit data necessary to implement the functions. For detailed data processing rules, please refer to Part II "Privacy Policy" of this Agreement.

5.3 输入合规 / Input Compliance：
您必须确保向AI模型输入的任何内容不违反中国法律法规，不侵犯任何第三方的合法权益。如因您的输入内容导致索赔或处罚，由您自行承担全部法律责任。
5.3 Input Compliance: You must ensure that any content input into the AI models does not violate Chinese laws and regulations and does not infringe upon the legitimate rights and interests of any third party. If your input content leads to claims or penalties, you shall bear all legal responsibilities.

5.4 生成结果的专业责任与安全底线 / Professional Responsibility and Safety Baseline of Generated Results：
AI生成的结果（如图纸参数、代码片段、渲染效果等）仅基于概率模型生成，仅供初步参考和辅助概念设计使用，绝不能替代专业工程师的结构计算、安全评估与专业审查。我们及第三方大模型提供商不对生成结果的准确性、科学性、合法性及工程结构安全性提供任何保证。因盲目依赖AI生成结果而导致的任何工程事故、人员伤亡、商业损失或侵权纠纷，我们概不负责。
5.4 Professional Responsibility and Safety Baseline of Generated Results: The results generated by AI are based solely on probability models and are for preliminary reference and auxiliary conceptual design use only. They must absolutely not replace the structural calculations, safety assessments, and professional reviews by professional engineers. We and the third-party large model providers provide no guarantee regarding the accuracy, scientificity, legality, and engineering structural safety of the generated results. We are not responsible for any engineering accidents, casualties, commercial losses, or infringement disputes caused by blind reliance on AI-generated results.

5.5 AI"幻觉"与内容瑕疵 / AI "Hallucinations" and Content Flaws：
由于技术局限，生成的内容可能存在"幻觉"、逻辑谬误。本平台不对生成内容的真实性、可靠性作绝对承诺。
5.5 AI "Hallucinations" and Content Flaws: Due to technical limitations, the generated content may have "hallucinations" and logical fallacies. This Platform makes no absolute commitment to the authenticity and reliability of the generated content.

5.6 网络环境与服务稳定性 / Network Environment and Service Stability：
平台服务强依赖于您本地的网络连接质量。受限于网络波动、浏览器/客户端兼容性、第三方算力限制等不可抗力，我们无法保证云端AI服务及平台操作永远不出现延迟或中断。
5.6 Network Environment and Service Stability: The Platform's services strongly depend on the quality of your local network connection. Limited by network fluctuations, browser/client compatibility, third-party computing power limitations, and other force majeure factors, we cannot guarantee that cloud AI services and Platform operations will never experience delays or interruptions.

6. 知识产权与技术版权 / Intellectual Property and Technical Copyrights

6.1 平台核心技术与资产所有权 / Ownership of Platform Core Technology and Assets：
本平台包含的所有内容，特别包括界面设计、前端代码、后端算法、预设参数模板（Presets）、自动化工作流架构（Workflows）、节点连接逻辑、底层提示词工程（Prompt Engineering）、内置知识库及相关的商业秘密，其完整的知识产权均归深圳市格子和弦设计有限公司 (Shenzhen Cell & Chord Design Co., Ltd.) 或相关权利人独占所有。
6.1 Ownership of Platform Core Technology and Assets: All content included in this Platform, especially interface design, front-end code, back-end algorithms, preset parameter templates (Presets), automated workflow architectures (Workflows), node connection logic, underlying Prompt Engineering, built-in knowledge bases, and related trade secrets, their complete intellectual property rights belong exclusively to Shenzhen Cell & Chord Design Co., Ltd. or relevant right holders.

6.2 用户设计产物权属 / Ownership of User Design Products：
您基于自身输入的原创设计意图生成的最终设计产物，其知识产权归您或您的授权方所有。但您同意授予我们为提供、维护本次服务所必需的合理使用权限（如存储、传输您的产物数据）。
6.2 Ownership of User Design Products: The intellectual property rights of the final design products generated based on your original design intent belong to you or your licensors. However, you agree to grant Us the necessary reasonable use permissions to provide and maintain this service (such as storing and transmitting your product data).

6.3 禁止用于模型训练与竞品开发（重要） / Prohibition on Model Training and Competitor Development (Important)：
未经书面授权许可，您绝不得将本平台的任何输出结果、界面数据、逻辑架构、预设参数，用于训练其他人工智能模型（如大语言模型等），也不得利用本工具的原理及输出来开发与本平台存在实质性竞争关系的产品或服务。
6.3 Prohibition on Model Training and Competitor Development (Important): Without written authorization, you shall absolutely not use any output results, interface data, logic architectures, or preset parameters of this Platform to train other artificial intelligence models (such as Large Language Models, etc.), nor may you use the principles and outputs of this tool to develop products or services that substantially compete with this Platform.

This Privacy Policy aims to explain to you how We collect, use, store, share, and protect your personal information and usage data during your use of this Platform.

7. 信息的收集与使用 / Collection and Use of Information

7.1 您主动提供的信息 / Information You Actively Provide：
当您注册账号、使用AI生成功能、提交反馈或联系客服时，我们可能会收集您提供的邮箱地址、用户名、联系方式、输入的文本指令（Prompt）及上传的参考图片等内容。
7.1 Information You Actively Provide: When you register an account, use AI generation features, submit feedback, or contact customer support, We may collect the email address, username, contact information, text instructions (Prompts) you input, and reference images you upload.

7.2 自动收集的信息 / Automatically Collected Information：
为保障平台稳定运行和优化体验，在您使用本平台时，我们可能会自动接收并记录您的设备信息（操作系统类型、设备型号、屏幕分辨率）、日志信息（IP地址、访问时间、功能使用频次、崩溃报告）及粗略地理位置信息。
7.2 Automatically Collected Information: To ensure stable operation and optimize the experience of this Platform, when you use this Platform, We may automatically receive and record your device information (operating system type, device model, screen resolution), log information (IP address, access time, feature usage frequency, crash reports), and coarse geographic location information.

7.3 本地存储与缓存 / Local Storage and Cache：
基于本平台"本地优先"的设计理念，您的项目进度、历史操作记录及部分用户偏好设置将优先存储在您设备的本地存储或浏览器缓存中。这意味着清除浏览器数据或卸载客户端将可能导致您未导出或未同步至云端的工作进度永久丢失。请您务必养成及时保存、导出重要成果的习惯。
7.3 Local Storage and Cache: Based on the "Local First" design philosophy of this Platform, your project progress, operation history, and some user preference settings will be stored preferentially in your device's local storage or browser cache. This means that clearing browser data or uninstalling the client may result in the permanent loss of work progress that has not been exported or synced to the cloud. Please make sure to develop the habit of saving and exporting important results in a timely manner.

7.4 使用目的 / Purposes of Use：
我们收集信息主要用于：

* 提供、维护和改进本平台的核心功能（如AI运算、参数推荐）；
   * Providing, maintaining, and improving the core functions of this Platform (e.g., AI computation, parameter recommendation);

   * Identifying account anomalies and ensuring network and data security;
* 进行产品分析与功能优化；
   * Conducting product analysis and feature optimization;
* 履行法律规定的义务（如网络安全法要求）。
   * Fulfilling legal obligations (as required by cybersecurity laws).

8. Cookie及同类技术 / Cookies and Similar Technologies

为确保平台正常运转，我们会在您的设备上存储名为Cookie的小数据文件。Cookie通常包含标识符、站点名称以及一些数字和字符。我们不会将Cookie用于本隐私政策所述目的之外的任何用途。您可根据自己的偏好管理或删除Cookie，但这可能会影响您对部分功能的使用体验。
To ensure the proper functioning of the Platform, We may store small data files called Cookies on your device. Cookies usually contain an identifier, site name, and some numbers and characters. We will not use Cookies for any purpose other than those described in this Privacy Policy. You can manage or delete Cookies according to your preferences, but this may affect your experience using some features.

9. 信息的共享、转让与公开披露 / Sharing, Transfer, and Public Disclosure of Information

我们仅在下述情况下与第三方共享您的信息：

* 第三方AI服务提供商：为提供AI生成功能，您输入的指令（Prompt）数据将被传输给本协议第5.1条所列的第三方AI服务商。我们已通过合同约定要求合作方对您的数据采取严格的保密和安全措施，且仅将数据用于为您提供模型运算服务，不得用于其他任何目的。
   * Third-Party AI Service Providers: To provide AI generation features, the instruction (Prompt) data you input will be transmitted to the third-party AI service providers listed in Article 5.1 of this Agreement. We have contractually obligated our partners to adopt strict confidentiality and security measures for your data and to use the data solely for providing model computing services to you, not for any other purpose.
* 法律法规要求：根据法律强制性规定、司法裁定或政府主管部门的要求。
   * Legal Requirements: As required by mandatory legal provisions, judicial rulings, or requests from government authorities.

9.2 转让 / Transfer：
我们不会将您的个人信息转让给任何公司、组织和个人，但在涉及公司合并、收购或破产清算时，如涉及到个人信息转让，我们将要求新的持有您信息的公司、组织继续受本协议的约束，否则我们将要求其重新征求您的授权同意。
9.2 Transfer: We will not transfer your personal information to any company, organization, or individual. However, in the event of a merger, acquisition, or bankruptcy liquidation involving the transfer of personal information, We will require the new entity holding your information to continue to be bound by this Agreement; otherwise, We will require them to seek your authorization again.

9.3 公开披露 / Public Disclosure：
我们仅会在以下情况下公开披露您的个人信息：（1）获得您的明确同意后；（2）基于法律的披露。
9.3 Public Disclosure: We will only publicly disclose your personal information under the following circumstances: (1) After obtaining your explicit consent; (2) Disclosures based on law.

10. 信息存储与跨境传输 / Information Storage and Cross-Border Transfer

10.1 我们在中华人民共和国境内收集和产生的个人信息将存储在中国境内。
10.1 Personal information We collect and generate within the People's Republic of China will be stored within China.

10.2 鉴于部分AI功能依赖国际第三方大模型服务商，您在使用AI功能时输入的Prompt数据可能会被传输至境外服务器进行运算。在此情况下，我们将按照法律法规要求进行安全评估，并要求境外接收方采取同等的保护措施。
10.2 Given that some AI features rely on international third-party large model service providers, the Prompt data you input when using AI features may be transmitted to overseas servers for computation. In such cases, We will conduct security assessments in accordance with legal requirements and require overseas recipients to take equivalent protective measures.

11. 您的权利 / Your Rights

根据相关法律法规，您对自己的个人信息拥有查阅、复制、更正、补充、删除及撤回同意的权利。如您希望行使上述权利，请通过本协议末尾的联系方式与我们联系。我们将在核实身份后15个工作日内响应您的请求。
In accordance with relevant laws and regulations, you have the right to access, copy, correct, supplement, delete, and withdraw consent regarding your personal information. If you wish to exercise these rights, please contact Us via the contact information at the end of this Agreement. We will respond to your request within 15 business days after verifying your identity.

12. 信息安全 / Information Security

我们采取符合业界标准的安全防护措施（包括但不限于SSL/TLS加密传输、访问控制、匿名化处理）来防止您的信息遭到未经授权的访问、公开披露、使用、修改、损坏或丢失。但请注意，没有任何一种互联网传输或存储技术是100%安全的。
We adopt security measures that meet industry standards (including but not limited to SSL/TLS encrypted transmission, access control, and anonymization) to prevent unauthorized access, public disclosure, use, modification, damage, or loss of your information. However, please note that no internet transmission or storage technology is 100% secure.

本平台及服务是按照"现状"和"现有"基础提供的，不对服务的及时性、安全性、准确性作绝对担保。
13.1 Provided "As Is": This Platform and services are provided on an "as is" and "as available" basis, and we provide no absolute warranty regarding the timeliness, safety, and accuracy of the service.

13.2 设计应用场景免责声明（重要） / Disclaimer on Design Application Scenarios (Important)：
本平台仅作为提升设计效率的"辅助工具"。我们不对您利用本工具产出的最终设计成果在商业交付、项目投标、工程施工等实际应用场景中的可行性、合规性承担任何连带责任。所有由本工具辅助产出的设计成果引发的现实商业和法律后果均由您（或您所在的企业机构）自行承担。
13.2 Disclaimer on Design Application Scenarios (Important): This Platform acts merely as an "auxiliary tool" to improve design efficiency. We bear no joint liability for the feasibility and compliance of the final design outcomes produced using this tool in practical application scenarios such as commercial delivery, project bidding, and engineering construction. All real-world commercial and legal consequences arising from design outcomes assisted by this tool shall be borne entirely by you (or your enterprise/institution).

14. 法律适用与管辖 / Governing Law and Jurisdiction

14.1 本协议适用中华人民共和国法律（不包括冲突法）。
14.1 This Agreement shall be governed by the laws of the People's Republic of China (excluding conflict of laws).

14.2 因本协议引起的任何争议，应首先友好协商解决；协商不成的，任何一方均有权将争议提交至深圳市格子和弦设计有限公司 (Shenzhen Cell & Chord Design Co., Ltd.) 所在地有管辖权的人民法院诉讼解决。
14.2 Any disputes arising from this Agreement shall first be resolved through friendly negotiation; if negotiation fails, either party has the right to submit the dispute to the competent People's Court at the location of Shenzhen Cell & Chord Design Co., Ltd. for litigation.
